1. Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Netwrkly (“Company,” “Netwrkly,” “we,” or “us”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Definitions
For purposes of these Terms, the “Platform” refers to Netwrkly and all related applications and services. “User” refers to any individual or entity accessing the Platform. “Content” refers to any information submitted to the Platform. “Connection Data” refers to data related to interactions between Users. “Derived Data” refers to aggregated or anonymized data generated by Netwrkly.
3. Eligibility
You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.
4. Platform Role
Netwrkly provides a technology platform designed to facilitate event discovery, management, and networking. Netwrkly is not the organizer, host, or operator of events and does not control or guarantee the quality, safety, legality, or outcomes of any event or interaction.
5. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information.
6. User Conduct
You agree not to use the Platform for any unlawful purpose or in a manner that could harm other users or the Platform. Prohibited activities include harassment, fraud, data scraping, and unauthorized commercial use of user data.
7. Networking and Visibility
Participation in events and use of networking features may make certain profile information visible to other Users, organizers, and sponsors depending on event settings. You acknowledge and consent to such visibility as a condition of using the Platform.
8. Data Usage and Analytics
Netwrkly may collect, process, and analyze data related to your use of the Platform, including Connection Data, for purposes of operating, improving, and enhancing the Platform. Netwrkly may generate Derived Data, which shall be owned exclusively by Netwrkly.
9. Organizer and Sponsor Insights
Netwrkly may provide organizers and sponsors with aggregated and anonymized insights regarding user engagement, participation, and activity. Such insights shall not identify individual Users unless explicitly consented to.
10. Indemnification
You agree to indemnify, defend, and hold harmless Netwrkly from and against any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Platform, your violation of these Terms, or your interactions with other Users.
11. Limitation of Liability
To the maximum extent permitted by law, Netwrkly shall not be liable for any indirect, incidental, consequential, or punitive damages. Netwrkly’s total liability shall not exceed the amount paid by you, if any, in the twelve (12) months preceding the claim.
12. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis. Netwrkly disclaims all warranties, whether express or implied, including but not limited to merchantability and fitness for a particular purpose.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in the State of Ohio. You agree to waive any right to participate in a class action.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
15. Data Deletion
You may request deletion of your personal data in accordance with applicable laws by contacting Netwrkly or using available in-app tools.
16. Changes to Terms
Netwrkly reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
